CERIX DEVELOPER TERMS & AGREEMENTS
Definition of Terms:
For the purposes of this document, the terms "CERIX", "CERIX Systems", and any variation of these will refer to Luc Aubret, his business interests, products and services.
The term "developer" will refer to any person other than Luc Aubret participating in this developer program or selling any CERIX-enabled items.
The terms "CERIX-enabled item", "CERIX content" and any variation of these will refer to any item designed to transmit and/or receive information from the CERIX system.
The terms "program" and "developer program" refer to any arrangement made between CERIX and a given individual to allow the sale of products and services using the CERIX system.
The terms "hacks" or "hacked content" refer to any item created by a developer that attempts to circumnavigate the operational parameters imposed by the CERIX system or runs counter to the spirit of such parameters.
The term "CERIX staff" or any variation thereof refers to individuals currently empowered by CERIX systems to make arrangements on behalf of said company.
Acceptance of Terms:
Any individual engaging in the developer program or otherwise distributing CERIX-enabled content is considered to have accepted the terms of this document. This acceptance is implied and requires no formal signature.
Confusion, miscommunication, and/or misunderstanding do not excuse violations of the terms set down in this document. It is the responsibility of a potential asdeveloper to clarify any misunderstandings before engaging in this program.
Liability:
CERIX can not be held liable for any consequences of the actions of its developers, or for any financial losses suffered due to the use of CERIX development content. Furthermore it is not responsible for arrangements made by its developers without the written consent of Luc Aubret.
Termination:
This agreement may be terminated at any time, by either party, for any reason and at their discretion. However, termination on behalf of the developer must be followed by the immediate deletion and cessation of distribution of all CERIX content created by that developer. Continued use of this content after the termination of an agreement will signify a renewal of the agreement, unless the agreement has been terminated by CERIX Systems.
Rules of Conduct:
Any of the following actions will result in immediate termination of the agreement by CERIX at their discretion:
1. Developing hacked content, or any content that runs counter to the limits imposed by the CERIX developer kits.
2. Attempting to sell or distribute CERIX enabled content on CERIX property without the express consent (such as a rental box arrangement or verbal agreement) of CERIX staff.
3. False advertising about the capabilities of the CERIX System or of any CERIX content.
4. Slander or other public defamation of the character of, or product quality of, other CERIX developers or CERIX Systems.
5. Gross displays of moral turpitude in regards to the distribution and creation of CERIX content.
Non-Disclosure:
The developer agrees not to share any information identified either verbally or in writing by CERIX as non-public information with anyone other than Luc Aubret.
Product Functionality
CERIX Systems reserves the right to disable all CERIX content created and distributed by the developer upon termination of the developer arrangement. Furthermore, CERIX Systems may at any time make changes to the system that will disable certain functions of distributed content; it is up to the developer to follow such changes, announced in a reasonable manner, and adjust/redistribute their own content to retain compatibility with future instances of the CERIX system.
Obligation:
This agreement neither states nor implies any obligation incumbent on either party. Developer agrees, however, to abide by any and all requirements that may be added for practical reasons in the future, or to discontinue this agreement and all activities involving CERIX content at the time of their introduction.
